ONE DEGREE DESIGN TERMS & CONDITIONS
Introduction & Agreement
These Terms & Conditions (“Terms”) govern the provision of services by One Degree Design (“we”, “us”, “our”), operating under an Australian Business Number (ABN), to the client (“you”, “your”).
By engaging our services, accepting a Proposal, making payment, or otherwise proceeding with a project, you agree to be bound by these Terms.
Definitions
For the purposes of these Terms:
Proposal means a written document issued by us outlining the services to be provided, including the Agreed Scope, Deliverables, Timeline, and fees, and accepted by you in writing.
Scope or Agreed Scope means the services, Deliverables, inclusions, exclusions, and limitations expressly set out in the accepted Proposal or otherwise agreed in writing between you and us.
Deliverables means the specific design outputs to be provided to you as part of the Agreed Scope, as outlined in the Proposal.
Additional Deliverables means any services, work, or outputs requested by you that fall outside the Agreed Scope and may be subject to additional fees and Timeline adjustments.
Revision means a round of Feedback applied to an existing and approved design direction. A Revision does not include new concepts, layouts, formats, or substantial changes to previously approved elements.
Design Approval means your written confirmation that the design direction, structure, layout, and Agreed Scope are approved, and that the project may proceed to Final Delivery.
Final Delivery means the point at which the final Deliverables are provided to you and, where applicable, access, files, or credentials are transferred. Upon Final Delivery, the project is deemed complete, subject to full payment of all outstanding fees.
Handover means the process by which Final Delivery is completed, including the transfer of files, assets, or access to you.
Content means all text, images, videos, logos, copy, or other materials supplied by you for inclusion in the Deliverables.
Feedback means consolidated comments, instructions, or change requests provided by you in response to designs or Deliverables.
Materials means any assets, files, information, or content supplied by either you or us for the purpose of completing the services.
Timeline means the schedule or timeframe for completion of the services, milestones, or Deliverables as set out in the Proposal or otherwise agreed in writing between you and us. The Timeline is indicative and may be adjusted by mutual agreement or due to unforeseen circumstances.
Services
We provide creative services including, but not limited to:
Brand identity and visual design
Website design and setup
Print and digital design assets
Ongoing design support, which may include creative direction, brand guidance, and general advice related to visual communication and brand presentation
The Agreed Scope, Deliverables, Timeline, and fees for each project or ongoing engagement will be outlined in a Proposal or agreement.
Any advice provided is general in nature and does not constitute marketing, legal, or financial advice.
Pricing, Deposits & Payments
All prices are listed in Australian Dollars (AUD).
For larger projects, a 50% non-refundable deposit is required before work commences. The remaining balance will be invoiced according to agreed project milestones or upon completion.
Invoices are payable within 7 days unless otherwise stated. Work may be paused if payment is overdue.
We are not registered for GST. GST will not be charged unless and until registration becomes required under Australian law.
Brand Identity Services
Brand identity services may include logo design, colour palettes, typography selection, and basic visual guidelines, as outlined in the agreed Proposal.
Payment for Brand Identity services is required in full prior to commencement of work.
Final Deliverables, file formats, and usage rights will be provided as specified in the Proposal or agreement.
Website Design & Setup Services
Website services include the design and setup of a website using Squarespace, as outlined in the agreed Proposal.
The number of pages, layout structure, and inclusions will be confirmed prior to Design Approval.
Payment is structured in stages as outlined in the Proposal or agreement – typically structured in three stages (50% deposit, 25% upon design approval, 25% upon Final Delivery), unless otherwise agreed in writing in the Proposal.
Squarespace subscriptions, domains, hosting, and third-party services are managed and paid for directly by you unless otherwise agreed in writing.
The website may be built within your Squarespace account or temporarily within our account for development purposes, at our discretion. Final Handover will be completed once all outstanding invoices are paid.
Business Card Services
Business card services may include design and coordination of printing through a third-party printer.
Final approval is required before files are submitted for print. Once approved and submitted, we are not responsible for printing errors, defects, or delivery delays caused by third-party suppliers.
Two (2) Revision rounds are included unless otherwise stated.
A Revision round consists of one consolidated list of changes to the approved design direction.
Requests that involve new concepts, layouts, formats, or significant brand changes are considered Additional Deliverables and may incur additional fees.
Revisions & Scope Changes
Each service fee includes a reasonable number of Revisions as outlined in the Proposal.
A Revision refers to adjustments to agreed concepts. New concepts, Additional Deliverables, or changes outside the Agreed Scope may incur additional fees.
Any Additional Deliverables will be discussed and approved in writing before proceeding.
Client Responsibilities
You agree to provide accurate Content, Feedback, approvals, and Materials in a timely manner.
Delays or failure to communicate caused by you, or unreasonable conduct, may result in revised Timelines, additional costs, or suspension of services.
Intellectual Property
Ownership of final Deliverables transfers to you only after full payment has been received.
Until payment is complete, all concepts, drafts, and Materials remain the property of One Degree Design.
We retain the right to display completed work for portfolio, website, and promotional purposes unless otherwise agreed in writing.
Cancellations & Termination
If you cancel a project after commencement:
Deposits are non-refundable
Work completed up to the cancellation date will be invoiced
We reserve the right to terminate a project if payments are overdue, communication has ceased, or if conduct becomes unreasonable.
Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the engagement, including, but not limited to, pricing, proposals, Scope, Deliverables, timelines, and materials. This obligation begins from the time a Proposal is issued and remains in effect unless disclosure is required by law or agreed in writing by both parties.
Confidential information must not be shared with third parties without prior written consent.
This does not prevent the Client from discussing general experiences or publicly available information.
Force Majeure
We are not liable for delays or failure to perform services due to circumstances beyond our reasonable control, including illness, technical failures, or events outside our control.
Governing Law
These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the jurisdiction of NSW courts.
Amendments
We may update these Terms from time to time. Minor administrative updates (such as formatting, typos, or clarifications) will apply automatically without requiring your signature.
Any changes that materially affect the services, fees, or your rights under these Terms will only apply with your written consent.
The version of these Terms in effect at the time a Proposal is accepted governs that engagement.
